Terms of Service for Psalm 91 Consulting

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Psalm 91 Consulting ("we," "our," or "us"). By accessing our website or engaging in our services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services

Psalm 91 Consulting provides security consulting services, including but not limited to risk assessments, strategic recommendations, and security training. All services are conducted within the state of Tennessee, and are tailored to meet the specific needs of our clients.

3. Service Area

Our services are currently offered exclusively within the state of Tennessee. We reserve the right to refuse service to clients located outside of this area unless otherwise agreed upon in writing.

4. Client Responsibilities

You agree to provide accurate and complete information necessary for the performance of the services. Failure to do so may result in delays, additional costs, or the termination of services. You are responsible for ensuring that any actions taken based on our recommendations comply with local, state, and federal laws.

5. Fees and Payment

All fees for our services will be agreed upon in writing before the commencement of work. Payment terms, including due dates, will be specified in the invoice provided to you. Failure to make timely payment may result in the suspension or termination of services. We reserve the right to charge interest on overdue payments at the rate permitted by Tennessee law.

6. Cancellation and Rescheduling

You may cancel or reschedule services with at least 48 hours' notice. Cancellations or rescheduling requests made less than 48 hours before the scheduled service may be subject to a cancellation fee, which will be outlined in your service agreement.

7. Intellectual Property

All materials, including but not limited to reports, recommendations, training materials, and presentations provided by Psalm 91 Consulting, remain the intellectual property of Psalm 91 Consulting. You are granted a non-exclusive, non-transferable license to use these materials solely for your internal business purposes.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. This obligation shall continue after the termination of services.

9. Limitation of Liability

Psalm 91 Consulting will make reasonable efforts to provide accurate and reliable services; however, we do not guarantee specific results. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Psalm 91 Consulting and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of our services or any violation of these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Tennessee.

12. Amendments

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of our services after the posting of changes constitutes your acceptance of such changes.
